Terms of Service

1. Acceptance of Terms

By accessing or using ReferralHub ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and ReferralHub.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use this Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

ReferralHub is a user-generated content directory that allows individuals to list and share referral links and associated bonus information for third-party products and services, including but not limited to credit cards, financial accounts, subscriptions, fitness memberships, travel services, and other goods or services.

The Platform acts solely as a passive intermediary and hosting service for user-submitted content. ReferralHub does not create, curate, edit, endorse, sell, administer, or guarantee any product, service, referral program, or bonus described on the Platform. We do not participate in any transaction between users or between users and third-party providers.

The Platform may display third-party trademarks, trade names, and brand names (such as credit card issuers, banks, subscription services, etc.) solely for the purpose of identifying the relevant products and services. All such trademarks are the property of their respective owners. Their appearance on this Platform does not imply any affiliation with, sponsorship by, or endorsement from those trademark owners.

4. No Guarantee of Referral Bonuses

The Platform makes no representations, warranties, or guarantees whatsoever regarding the accuracy, validity, availability, value, legality, or fulfillment of any referral bonus, reward, incentive, or promotional offer listed on the Platform. Specifically:

  • Referral bonuses, rewards, and promotional offers are created, administered, and fulfilled entirely by the respective third-party companies. ReferralHub has no involvement in and no control over the issuance, fulfillment, modification, or cancellation of any bonus or reward.
  • Bonus amounts, terms, eligibility requirements, and availability may change at any time without notice. Information listed on the Platform may be outdated, inaccurate, or incomplete at the time you view it.
  • ReferralHub does not guarantee that any referral link will function correctly, that you will qualify for any bonus, or that any bonus will be paid or credited to you or any other party.
  • Any arrangement to "share" or "split" a referral bonus between a referrer and referee is solely between those individuals. ReferralHub is not a party to any such agreement, does not facilitate, enforce, mediate, or guarantee any such arrangement, and has no obligation to resolve disputes arising therefrom. You hereby release and waive all claims against ReferralHub arising from or related to any dispute over the sharing, splitting, or distribution of referral bonuses between users.

5. No Verification of Listings

ReferralHub does not verify, validate, endorse, or authenticate any listing, referral link, bonus claim, product, service, or user-submitted content on the Platform. Specifically:

  • All referral listings are submitted by users and reflect their claims, not ours. We do not verify the identity of users, the legitimacy of referral links, or the accuracy of bonus descriptions.
  • Referral links may lead to third-party websites over which we have no control. We are not responsible for the content, practices, privacy policies, or security of any third-party website.
  • Listings may contain errors, misrepresentations, or fraudulent content. Users are solely responsible for conducting their own due diligence before using any referral link or relying on any information found on the Platform.
  • The inclusion of any product, service, or company on the Platform does not constitute an endorsement or recommendation by ReferralHub.

6. Referral Link Disclosure

Listings on this Platform contain referral links submitted by users. When you use a referral link, the user who posted the listing and/or the person being referred may receive compensation, bonuses, credits, or other benefits from the third-party provider. ReferralHub itself does not currently receive compensation from referral link usage; however, we reserve the right to introduce affiliate relationships, sponsored listings, or other monetization in the future, which will be disclosed in accordance with applicable Federal Trade Commission (FTC) guidelines and regulations.

7. User Responsibilities

By using the Platform, you agree that:

  • You will not submit false, misleading, deceptive, or fraudulent referral listings or information.
  • You are solely responsible for complying with the terms and conditions of any third-party referral program you participate in, including any restrictions on public sharing of referral links.
  • You will not use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international laws or regulations.
  • You understand that using referral links involves interacting with third-party services, and you do so entirely at your own risk.
  • Any information you submit to the Platform may be publicly visible, and you are responsible for ensuring you have the right to share such information.
  • You will not attempt to manipulate click counts, create fake accounts, engage in spam, or otherwise abuse the Platform's functionality.
  • You will not scrape, harvest, or collect data from the Platform through automated means without prior written consent.

8. User Content License

By submitting any content to the Platform (including but not limited to referral listings, descriptions, notes, and any other text or information), you grant ReferralHub a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from such content in connection with the operation and promotion of the Platform.

You represent and warrant that you own or have the necessary rights and permissions to submit such content and to grant this license, and that your content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

9. Intellectual Property & DMCA

The Platform's design, code, logos, and original content are the property of ReferralHub and are protected by applicable intellectual property laws. All third-party trademarks, service marks, and brand names appearing on the Platform are the property of their respective owners.

If you believe that any content on the Platform infringes your copyright or other intellectual property rights, please send a written notice to our designated agent containing the following information, in compliance with the Digital Millennium Copyright Act (17 U.S.C. § 512):

  • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright or other right being infringed;
  • Identification of the copyrighted work or intellectual property claimed to have been infringed;
  • Identification of the material that is claimed to be infringing, with sufficient detail for us to locate it on the Platform;
  • Your contact information (name, address, telephone number, email address);
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

10. Not Financial, Legal, or Tax Advice

Nothing on the Platform constitutes financial, legal, tax, investment, or professional advice of any kind. Information about credit cards, bank accounts, investment products, and other financial services is provided for general informational purposes only and should not be relied upon as the basis for any financial decision. You should consult a qualified financial advisor, attorney, or tax professional before making any financial decisions or entering into any financial product or service.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RELIABILITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REFERRALHUB, ITS OPERATORS, OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "REFERRALHUB PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE REFERRALHUB PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE AMOUNTS PAID BY YOU TO REFERRALHUB, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES TO ANY CLAIM ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, ANY REFERRAL LISTING, ANY THIRD-PARTY PRODUCT OR SERVICE, ANY BONUS OR REWARD, OR ANY ARRANGEMENT BETWEEN USERS.

13. Indemnification

You agree to indemnify, defend, and hold harmless the ReferralHub Parties from and against any and all claims, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (a) your use of or access to the Platform; (b) any content you submit to the Platform; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; (e) your interaction with any third-party referral program, product, or service found through the Platform; or (f) any dispute between you and another user regarding the sharing or splitting of referral bonuses.

14. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Binding Arbitration. You and ReferralHub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform (collectively, "Disputes") will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration will be conducted by a single arbitrator, in the English language, and shall take place in San Francisco County, California, or, at your election, may be conducted remotely (by telephone or video conference).

Class Action Waiver. YOU AND REFERRALHUB AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@referrals-hub.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of binding arbitration.

15. Account Termination

We reserve the right to suspend, disable, or terminate your account and remove any listing or content from the Platform at any time, for any reason or no reason, at our sole discretion, without prior notice or liability.

Upon termination of your account: (a) your right to access and use the Platform will immediately cease; (b) we may, but are not obligated to, delete your account data, listings, and associated content; (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 5, 8, 11, 12, 13, 14, 16, 17, 18, 19, and 20.

You may terminate your account at any time by contacting us or, if available, using the account deletion functionality on the Platform.

16. Service Availability & Force Majeure

ReferralHub does not guarantee continuous, uninterrupted, or secure access to the Platform. The Platform may be unavailable due to maintenance, updates, technical failures, or circumstances beyond our control. We shall not be liable for any delay, failure, or interruption of service resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government action, power failures, internet or telecommunications failures, cyberattacks, or third-party service outages. We reserve the right to modify, suspend, or discontinue the Platform (in whole or in part) at any time without notice or liability.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws provisions. Subject to the arbitration provision in Section 14, any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

18. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You represent that you are not located in, or a resident or national of, any country subject to U.S. government embargo or that has been designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

19. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, provide additional notice (such as a banner on the Platform). Changes will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform. We encourage you to review these Terms periodically.

20. General Provisions

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and ReferralHub with respect to the subject matter hereof and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

Waiver. The failure of ReferralHub to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ReferralHub.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
